Terms & Conditions / Member Agreement

These terms govern your membership of ChipTrades, a free business-to-business forum and network for the electronic components industry. By creating an account you agree to them.

1.Who we are and what ChipTrades is

ChipTrades ("ChipTrades", "we", "us") is currently operated as a pre-registration/free-launch project in the United Arab Emirates. No separate legal entity has been established for ChipTrades at this stage. Any applicable legal entity and registered business details will be added to these terms once the business is formally established.

ChipTrades is currently free to use. It is an information, forum and introduction platform where members publish their own stock availability, post requests for quotation (RFQs) and communicate with each other.

2.What ChipTrades does not do

  • We do not buy, sell, manufacture, distribute or warehouse electronic components.
  • We do not take ownership or possession of any goods.
  • We do not inspect, test, certify or authenticate components.
  • We do not verify every listing, RFQ, specification, quantity or price.
  • We do not process, hold, escrow or guarantee payments between members.
  • We are not a party to, agent for, broker of or guarantor of any transaction between members.

3.Eligibility and membership

ChipTrades is for professional brokers, traders, distributors and other businesses in the electronic components industry, acting on behalf of a registered business. End consumers, hobbyists and private individuals are not eligible.

All accounts are subject to review and approval by ChipTrades. New accounts remain pending until approved. We may decline any application, and may suspend or terminate membership, without being required to give a reason.

4.Member Content and responsibility

"Member Content" means anything you submit: stock lists, RFQs, prices, documents, images, messages and profile information. You are solely responsible for your Member Content, for its accuracy and legality, and for having the rights and authority to submit it. See our IP / Copyright Policy for the limited licence you grant us to host and display it.

Only post stock you hold or can genuinely source. Fictitious, unavailable or misleading listings are prohibited.

5.Anonymous RFQs and matching

You may post RFQs anonymously, and our matching engine may cross-match RFQs against member stock anonymously. When a request is anonymous we do not reveal your name, company, email address, phone number, country or region to other members. Members must not attempt to identify or de-anonymise an anonymous buyer.

ChipTrades retains the underlying identity internally for account administration, platform operation, security and legal purposes, as described in the Privacy Policy. Identity is disclosed to another member only where the workflow you choose does so.

6.Direct messaging between members

Messaging works like ordinary business email: when you contact another member directly, you may each see the other's identity and the contact details you choose to share. Use it professionally and only for legitimate business purposes. Do not use messaging to spam, harvest contacts or send unlawful content.

7.Your transactions are your own

Any negotiation, order, sale, purchase, shipment, payment or dispute is strictly between the members involved, on their own terms and at their own risk. You are responsible for your own due diligence on counterparties and goods, for agreeing commercial terms and for compliance with export control, sanctions, customs, tax and product safety law. ChipTrades accepts no responsibility for quality, authenticity, delivery, payment, loss of profit or any commercial dispute.

8.Counterfeit and fraudulent goods

Knowingly advertising, offering or supplying counterfeit, cloned, re-marked, stolen or misrepresented components is strictly prohibited. See our Counterfeit & Product Authenticity Policy.

9.Prohibited activity

Our Community & Acceptable Use Rules form part of this agreement. In particular, you must not spam, scam, impersonate others, create fraudulent or multiple accounts, upload malicious code, harass other members, publish confidential information without authority, or engage in unlawful activity.

10.Scraping and data harvesting

You must not scrape, crawl, spider, bulk-download or use automated means to extract platform data, harvest member contact information, or build a competing or derivative dataset from ChipTrades. Access is for your own internal business use through the interface we provide.

11.Confidentiality

Information another member shares with you through the platform for the purposes of a potential transaction — including pricing, requirements and customer context — must be treated as confidential and used only for that purpose, unless it is public or you have permission to use it otherwise.

12.Account security

Keep your credentials confidential, do not share accounts, and notify us at sales@chiptrades.com immediately if you suspect unauthorised access. You are responsible for activity under your account.

13.Content removal, restriction and suspension

We may remove or restrict any content, limit platform functionality, withhold approval, suspend or terminate any account at any time where we consider it necessary — including for suspected rule breaches, security risk, legal risk or platform integrity. We may do so without prior notice.

14.Communications

While your account is active we send service communications necessary to operate it — account approval and status, security notices, RFQ and match notifications, quote requests, new message alerts, system notifications and important service announcements. These are not marketing and are not optional.

Marketing and platform-update emails are separate and can be managed on your Marketing Preferences page or via the unsubscribe link in any marketing email.

15.Intellectual property

The ChipTrades platform, branding, design, code and structure are owned by ChipTrades and may not be copied, reproduced, reverse engineered or redistributed without written permission. Manufacturer names are used for identification only and imply no affiliation.

16.Free launch and platform availability

ChipTrades is provided free of charge during its launch phase, "as is" and "as available". We do not guarantee uninterrupted availability, particular results, matches, leads or business outcomes, and we may change, add or withdraw features.

17.Limitation of liability

To the maximum extent permitted by applicable law, ChipTrades is not liable for any indirect, incidental, special, consequential or punitive loss, or for loss of profit, revenue, business, goodwill or data, arising out of your use of the platform or any dealing with another member. Nothing in these terms excludes liability that cannot be excluded by applicable law.

18.Indemnity

You agree to indemnify ChipTrades against claims, losses and costs arising from your Member Content, your transactions with other members, or your breach of these terms or applicable law.

19.Governing law and jurisdiction

These terms are provided for the ChipTrades free-launch phase. Any governing law and jurisdiction provisions will be updated once the legal structure of ChipTrades has been formally established. Nothing here restricts mandatory rights or protections available to you under the law of your own country.

20.Changes to these terms

We may update these terms as the platform develops. Material changes will be notified in the platform or by email and the version above will be updated. Continuing to use ChipTrades after a change means you accept the updated terms.
